By accessing, purchasing, or using any services provided by XSAYRA ("Company", "we", "our", or "us"), you agree to be bound by these Terms of Service.

1Services

XSAYRA provides technology, consulting, development, automation, and AI-related services including but not limited to:

  • Custom AI agents
  • AI voice agents
  • AI chatbots
  • Business process automation
  • Workflow automation
  • CRM integrations
  • Appointment booking systems
  • Lead qualification systems
  • Website development
  • Landing page development
  • Full-stack web application development
  • API integrations
  • Technical consulting

Service scope may vary by project and will be defined through proposals, contracts, invoices, or written agreements.

2No Guarantee of Business Results

XSAYRA provides technology solutions and implementation services.

We do not guarantee:

  • Revenue increases
  • Lead generation results
  • Sales conversions
  • Customer acquisition outcomes
  • Search engine rankings
  • Marketing performance
  • Business growth
  • Operational savings

Business outcomes depend on numerous factors outside our control.

3Infrastructure & Third-Party Services

XSAYRA may develop, deploy, configure, or manage solutions using:

  • Proprietary XSAYRA systems
  • Client-owned infrastructure
  • Self-hosted infrastructure
  • Open-source software
  • Custom automation platforms
  • n8n
  • OpenAI
  • Retell AI
  • Twilio
  • Anthropic
  • Google Cloud
  • AWS
  • Vercel
  • Supabase
  • Stripe
  • Communication providers
  • Hosting providers

Infrastructure choices are determined based on project requirements, performance needs, budget constraints, scalability requirements, and client preferences.

Where solutions are deployed on client-owned infrastructure, the client is responsible for maintaining account access, billing obligations, and infrastructure compliance.

XSAYRA is not responsible for outages, pricing changes, service interruptions, policy changes, security incidents, or failures caused by third-party providers, open-source software, client-managed systems, or infrastructure outside XSAYRA's direct control.

4Client Responsibilities

Clients agree to:

  • Provide accurate information
  • Respond to requests necessary for project completion
  • Review and approve deliverables in a timely manner
  • Maintain legal compliance within their jurisdiction
  • Obtain all required permissions, disclosures, and consents
  • Comply with telecom, privacy, consumer protection, and data regulations

Clients are solely responsible for how they use systems delivered by XSAYRA.

5Payments & Billing

All pricing, setup fees, subscriptions, maintenance fees, and custom project costs are agreed separately.

Unless otherwise agreed:

  • Payments are non-refundable
  • Work begins after payment is received
  • Late payments may result in project delays or service suspension
  • Recurring services continue until cancelled under agreed terms

XSAYRA reserves the right to suspend services for unpaid accounts.

6Website & Software Development

For development projects:

  • Project timelines are estimates only
  • Clients are responsible for providing required content and assets
  • Change requests beyond the agreed scope may incur additional charges
  • Delays caused by the client may affect delivery timelines

Unless otherwise agreed in writing, ownership transfers after full payment is received.

7Intellectual Property

XSAYRA retains ownership of:

  • Internal systems
  • Frameworks
  • Templates
  • Methodologies
  • Proprietary tools
  • Branding materials

Upon full payment, clients receive rights to deliverables specifically created for their project unless otherwise stated in writing.

8Acceptable Use

Clients may not use XSAYRA services for:

  • Fraudulent activity
  • Spam communications
  • Harassment
  • Illegal activities
  • Unauthorized data collection
  • Violations of privacy laws
  • Telecom law violations
  • Malicious software distribution

XSAYRA reserves the right to terminate services for violations.

9Limitation of Liability

To the maximum extent permitted by law, XSAYRA shall not be liable for:

  • Lost profits
  • Loss of revenue
  • Business interruption
  • Data loss
  • Indirect damages
  • Consequential damages
  • Third-party service failures
  • Security incidents caused by third-party providers

XSAYRA's total liability shall not exceed the amount paid by the client during the preceding three months of service.

10Service Modifications

XSAYRA may modify, suspend, or discontinue any service offering at any time without prior notice.

11Termination

Either party may terminate services according to agreed project or subscription terms.

Termination does not eliminate outstanding payment obligations.

12Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the jurisdiction in which XSAYRA operates.
